Professional Vending & Supply
|Orders: Orders may be placed in writing, by phone, by Fax, by email or online through our website shopping cart. Orders are accepted subject to fires, strikes, accidents and other causes beyond our reasonable control. Acceptance of your order is conditioned upon an agreement to hold us harmless by reason of manufacturing or delivery delays. All orders are subject to the cancellation and return policies of Professional Vending & Supply.|
Title to this product and/or goods shall not pass to the Buyer until the Total Due is paid in full. If paid by credit card, Buyer agrees to the terms of this Purchase Agreement in lieu of the Credit Card Company’s terms and shall be liable for all amounts due Seller should the Credit Card Company reverse charges or fails to make full payment to Seller. Product and/or goods purchased are for a business purpose. Delivery and location of displays and/or product is the Buyer’s responsibility. All products and/or goods are F.O.B. manufacturer’s warehouse. All shipping rates quoted on shopping cart are for contiguous 48 States only. Orders from Alaska, Hawaii, U.S. Territories and foreign countries are subject to additional shipping and handling charges.
Payment: All orders must be paid in full prior to shipment unless other arrangements have been made and you have been credit approved by Professional Vending & Supply or one of its affiliated lending agencies. All shipping or freight charges are added to the order and are part of your payment in full. Prepaid shipping charges have been included with shipping cart orders. We will not process C.O.D. or freight collect orders. Use of locating companies for acquiring locations and locating fees are not the responsibility of Professional Vending & Supply and are paid separately and directly to the locating company that you have contracted with. Payment of an order may be made by credit card, cashier’s check, certified check, business check, personal check, money order, bank wire transfer, or Western Union. If you wish to pay by Visa, Master Card, American Express or Discover Card you may do so through use of our shopping cart or by calling one of our representatives at 1(877) 802-7210. If you elect to make payment by personal check or business check, you must allow up to 3 business days for funds to clear prior to shipment. Upon receipt of payment in full and purchase agreement, your order will be processed and shipped promptly. All customer checks returned by the bank for any reason shall subject the customer to a Thirty Dollar ($35.00) processing fee.
Foreign Orders - Taxes & Fees: We are not authorized to collect, nor do we collect any sales tax, government fees or customs fees for your order. It is your responsibility to pay any and all government taxes and customs fees due on said purchase. We accept no responsibility these taxes or fees.
Shipment: Most orders are usually shipped within 3 to 7 business days and large equipment or specialty items within three to four weeks upon receipt of payment in full and a signed purchase agreement or electronic order form. In some cases, the larger machines may take from 4 to 6 weeks for delivery because of factory production or type of freight handling. Goods are shipped via the best and least expensive way at this company's discretion unless otherwise specified. Orders are usually shipped freight prepaid at a savings to the buyer and added to the invoice; unless the buyer makes his or hers own shipping arrangements and approved by Professional Vending & Supply. It is the buyer’s responsibility to make acceptable arrangements to receive goods and his responsibility to inspect those goods upon delivery. We take every precaution to be sure that your order arrives to you safely, promptly, complete and damage free. If upon receipt of order the buyer finds concealed damage, missing parts, or an incomplete order, the buyer must notify the freight carrier immediately to permit the freight carrier's prompt inspection of the merchandise. All other damages or problems with order must be noted, in writing, when signing freight log or bill of lading. It is also the buyer's responsibility to then contact Professional Vending & Supply within 24 hours of any such damage, missing parts or incompleteness. The Professional Vending & Supply Company does not accept any responsibility for damaged or lost freight. It is the buyer's responsibility to file any damage and loss claims with the Freight Company and manufacturer direct.
Professional Vending & Supply is not responsible for delay in delivery due to causes beyond its control such as, by way of illustration and not of limitation, fire, strike, lockouts, embargoes, production delays, transportation delays, acts of God, war or other outbreak of hostilities, machinery breakdown, and governmental regulation or like causes. We will endeavor to ship within the estimated time, but failure to do so shall not be cause for cancellation.
It is the customer’s responsibility to be sure that the ordered equipment will fit through doorway or entryway of delivery site and that the delivery truck has reasonable access. Customer must be aware of equipment's dimensions prior to ordering and any difficulty with delivery because of equipment dimensions will be the customer’s responsibility.
Delivery shall be made during normal business hours in accordance with customs and usages of the trade. If customer desires to have delivery at any other time, customer shall be responsible for the additional shipping and handling costs incurred.
Products can only be shipped to the 48 contiguous states. We regret that we do not ship direct to any APO/FPO, Hawaii, and Alaska, Puerto Rico or other foreign addresses. We will however ship to a freight forwarder contracted by you at any U.S. Port of your choice within the 48 contiguous states.
The customer shall be responsible for any and all costs incurred by Professional Vending & Supply in delivering merchandise requiring special handling.
If delivery of merchandise cannot be made by the Professional Vending & Supply Company when same is due and ready because customer's space is not available or customer for any reason is not then ready to accept or permit delivery, then customer shall be responsible for cost and expense of storage, any extra handling and labor incurred by Professional Vending & Supply, but not limited to, twenty percent (20%) of Professional Vending & Supply's restocking costs. If paid by credit card an additional three percent (3%) fee will be levied upon the customer to offset the credit card fees charged to Professional Vending & Supply by the customer's Credit Card Company.
Once the specified equipment is delivered to the Buyer, the Seller’s responsibility is completed.
Cancellations & Returns: The Buyer has 72 hours from the date that the order was placed in which to cancel said order with no obligation. Buyer may cancel the order by written notice delivered by certified mail to the Seller or by electronic transmission (phone, fax or email) within 72 hours after initial payment. Once three business days (72 hours) has expired all or any part of orders for merchandise cancelled, or merchandise that has been refused or returned and accepted by Professional Vending & Supply, shall subject the customer to a cancellation or return charge equal to twenty percent (20%) of the Professional Vending & Supply Company restocking costs and all of its shipping, handling and labor costs. If paid by credit card the customer will be credited only the difference between the original charge and the deductions as listed above. Upon delivery and acceptance of ordered and invoiced merchandise the sale is considered final with no further obligation, except for manufacturer's warranties and guarantees, on behalf of Professional Vending & Supply.
Buyer may also cancel the order by written notice delivered by certified mail to Seller prior to shipment, with no obligation to Seller, if by fault of the Seller the order is not shipped within thirty (30) days of the receipt of the written, electronic or digital order and full payment from the buyer.
Professional Vending & Supply reserves the right to refuse to cancel or to accept the return for credit of all or any part of the merchandise ordered which has been manufactured or ordered specifically to meet the Buyer's requirements, as set forth in the order and associated invoice.
Professional Vending & Supply also reserves the right to refuse for return any food or candy products and/or any product that has been opened, partially or wholly assembled by customer, and not returned in its unopened original packaging.
Guarantees & Warranties: Our products are guaranteed and/or warranted by the manufacturer, from date of delivery of the equipment, to be free of defects in material and workmanship. During the guarantee and/or warrantee period, any new merchandise that requires repair will be honored by the manufacturer or the manufacturer’s representative as outlined in the individual manufacturers written warranty that is located on and can be read on the individual product pages. Used equipment is purchased by the buyer in as is condition, certified to be clean and working, and comes with a 30-day parts and refrigeration warranty. Reconditioned or remanufactured equipment comes with a 6-month warranty on parts and refrigeration units. Warranties do not cover labor costs. This guarantee and/or warranty covers the equipment and all of its moving parts but does not cover damage resulting from any of the following: vandalism, negligent use or misuse of the equipment, use contrary to operating instructions, or disassembly, repair or alteration by any person other than an authorized manufacturer’s representative or his agent. You must return a signed registration form to validate any manufacturer's equipment guarantee and/or warranty.
This warranty is expressly made in lieu of all other warranties expressed or implied, including the warranties of merchantability and fitness. In no event shall Professional Vending & Supply be liable for incidental, consequential or special damages of any nature which may arise in connection with such item. The term consequential is expressly intended, but not limited to mean those damages that are not immediately foreseeable to Professional Vending & Supply such as damage claims involving labor charges for removal or installation of said item, loss of stored product, lost sales, lost orders, lost profits, lost income either gross or net allegedly attributed either directly or indirectly to failures or non-performance of equipment purchased through Professional Vending & Supply.
Equipment Installation: Professional Vending & Supply is not responsible for the installation of, or the setting up of, any purchased equipment. It is the buyer's responsibility to unpack, remove from pallet, install and set up the purchased equipment for operation. If the buyer requires installation and/or set up of his new equipment the Professional Vending & Supply is not obligated but will assist the buyer in trying to find a local vending service to handle those services for him at additional costs as agreed to with the local vending service.
Product Changes: Professional Vending & Supply strives for continuous improvement in design and operation of its products. We reserve the right to change or revise specifications and product design in connection with any product or feature of our products. Such changes do not entitle the buyer to corresponding changes, improvements, additions or replacements for equipment previously sold or shipped. Product representation is as accurate as possible and may vary slightly, and in some cases, graphics may not be exactly as shown.
Disputes: Any dispute under this Agreement shall be settled by arbitration before the American Arbitration Association of New York in accordance with their rules and procedures. It should also be understood that the Buyer shall be liable for any and all legal fees and monetary damages incurred by the Seller in the enforcement of this agreement. Judgment on the award of the American Arbitration Association may be entered in any court of competent jurisdiction. The laws of the State of New York shall determine the interpretation of this agreement. Exclusive venue for the resolution of disputes shall be Suffolk County, NY.

By purchasing from the Professional Vending & Supply Company website the buyer agrees to this document as outlined above and acknowledges that he/or she understands and agrees to the terms of this document and the terms and policies of Professional Vending & Supply as outlined on its invoice and website.
